About these terms
These Terms of Service ("Terms") are between Tuling Creative Hub ("Tuling") and the company that signs up for Tuling HRMS (the "Customer"). They form the agreement together with the Order Form or online plan selection, the Data Processing Addendum, the Service Levels and Support page, and the Acceptable Use Policy. If they conflict, the Order Form comes first, then the DPA, then these Terms.
The person who accepts these Terms for the Customer confirms that they are authorised to do so.
The service
Tuling provides Tuling HRMS, a hosted human resources software service, and its mobile apps (the "Service"), with the features of the plan the Customer chooses. We may improve and change the Service. We will not materially reduce the core features of a paid plan during a paid term without notice.
Free trial and Free plan
Paid plans start with a free trial of three (3) months, without a card. At the end of the trial the Customer must choose a paid plan, or move to the Free plan if it qualifies, or the account will be limited to read-only access and then closed after [30] days, and its data handled under the DPA.
The Free plan is for up to 10 employees. It has no support commitment and no service levels, and we may change or withdraw it with 30 days' notice.
Accounts and users
- The Customer is responsible for its users, their credentials, and everything done through its account.
- The Customer will keep login details secure, give access only by role as intended, and tell us promptly of any unauthorised use.
- Personal and temporary email addresses are not accepted for company workspaces.
Fees and payment
- Fees are those on the Order Form or pricing page for the plan, number of employees and add-ons chosen. Prices are in Indian rupees and exclude GST and any other taxes, which the Customer pays in addition at the rate in force.
- Fees are billed monthly in advance unless the Order Form says otherwise, and are due within [15] days of invoice.
- If the Customer deducts tax at source as the law requires, it will give us the certificate. We will issue GST-compliant invoices.
- We may change prices for a renewal term with at least 30 days' notice. Unpaid amounts may carry interest at [1.5]% a month or the maximum the law allows, and we may suspend the Service after reasonable notice if payment is more than [15] days late.
Customer data
The Customer owns its data. It gives us only the right to host and process it to provide the Service, as set out in the DPA. The Customer is the data fiduciary and is responsible for having a lawful basis, notices and consents for the data it puts in the Service, including its employees' personal data under the DPDP Act, 2023.
Our intellectual property
Tuling and its licensors own the Service, the software, the designs, and all improvements. The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the term for its own internal business. The Customer will not copy, reverse engineer, resell or build a competing product from the Service, except as the law allows.
Acceptable use
The Customer will follow the Acceptable Use Policy.
Confidentiality
Each side will keep the other's non-public information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed (with notice where allowed).
Warranties and disclaimers
We will provide the Service with reasonable skill and care and in line with the Service Levels page. Except as stated, the Service is provided "as is". We do not give any other warranty, including that it will be uninterrupted or error free.
Tuling HRMS is a tool. Statutory rates, rules and due dates are set by law and change. The Customer remains responsible for its compliance, for checking payroll outputs before payment, and for its own legal and tax advice. The reports, templates and calculators are aids and not legal or tax advice.
Liability
- Neither side is liable for indirect or consequential loss, or for loss of profit, goodwill or data, to the extent the law allows.
- Our total liability arising out of this agreement in any twelve months is limited to the fees the Customer paid for the Service in the twelve months before the event.
- Nothing here limits liability for fraud, wilful default, death or personal injury, or anything the law does not allow to be limited.
Indemnity
The Customer will cover Tuling against third-party claims that arise from the Customer's data or from its breach of the Acceptable Use Policy or the law. Tuling will cover the Customer against third-party claims that the Service as supplied infringes an Indian intellectual property right, if the Customer promptly notifies us, lets us control the defence, and cooperates.
Term and termination
- The agreement runs for the term on the Order Form and renews monthly unless either side gives 30 days' notice before renewal.
- Either side may end it for material breach that is not fixed within 30 days of notice, or immediately for insolvency.
- On ending, the Customer may export its data for 30 days. After that we delete it as the DPA says, except where the law requires us to keep it.
- Sections that by nature continue (fees due, confidentiality, liability, governing law) survive.
Suspension
We may suspend access where needed to protect the Service or other customers from an urgent security risk or illegal use, or for non-payment as above. We will limit the suspension and tell the Customer as soon as reasonably possible.
Force majeure
Neither side is liable for delay or failure caused by events beyond its reasonable control, such as natural disaster, war, government action, or failure of public networks or power. Payment obligations for service already provided continue.
General
- Notices go by email to the address on the account, and to support@tulingcreativehub.com for Tuling.
- The Customer may not assign the agreement without our consent. We may assign it to a successor to our business.
- If part of it is unenforceable, the rest continues.
- It is the whole agreement on its subject and can be changed only in writing, or by us on notice for changes that are required by law or do not harm the Customer.
Governing law and disputes
Indian law governs. The sides will first try to settle a dispute by talking, for 30 days. Failing that, the dispute goes to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by agreement or, failing that, as the Act provides. The seat and venue is Noida, India, and the language is English. Subject to that, the courts at Noida (Gautam Buddh Nagar), Uttar Pradesh have exclusive jurisdiction. Either side may go to court for urgent interim relief.
Effective date
These Terms are effective 2 November 2026.
